Official Rules
NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. VOID WHERE PROHIBITED BY LAW. PLEASE READ CAREFULLY, YOU ARE ASSIGNING THE DESIGN TO SALON BY ENTERING THE CONTEST.
Eligibility. The 2007 Audiofile Logo Contest (the "Contest") is open only to residents of the 50 United States of America or the District of Columbia who are 18 years of age or older at the time of entry. The Contest is void where prohibited by law, or where the registration requirements of any state of local jurisdiction have not been complied with. The Contest is not open to employees (or their immediate family members) of Salon Media Group Inc. ("Salon") or its affiliates.
To Enter. Only (1) one entry per person or group will be accepted (any subsequent entries will not be considered). To enter, you must visit Salon.com and complete all of the following steps:
1) read and agree to be bound by these Official Rules, which is a legal agreement between you and Salon. Submission of an entry into this Contest confirms your agreement to be bound by all the terms of these Official Rules; and
2) submit your original Audiofile logo design ("Design Submission") by e-mail to audiofile@salon.com with the subject line "Audiofile Logo Design Submission -- I AGREE" to show that you have read and agree to be bound by all of the terms of these Official Rules. The Design Submission should be no wider than 392 pixels, and no taller than 180 pixels (in high resolution, if possible). Please include your name and contact information, including daytime telephone number and e-mail. Please review our Privacy Policy to see how we use and protect your personal information. All entry information and materials, including your Design Submission, become the property of Salon and will not be returned.
Assignment of Design Submission; Other Permissions. By submitting a Design Submission to the Contest, you irrevocably assign all right, title and interest, including without limitation the copyright, in and to the Design Submission to Salon. If for any reason the assignment contained herein is ineffective, you hereby irrevocably grant to Salon a non-exclusive, fully paid, royalty-free, worldwide, perpetual license, including the unlimited right to sublicense, to use, copy, modify, adapt, translate, publicly perform, publicly display, store, reproduce, transmit and distribute the Design Submission in any medium now known or later developed. You also waive any right to inspect and approve any use of the Design Submission. Salon has no obligation whatsoever to use the Design Submission. You also represent and warrant that: (a) you are 18 years of age or older and have the full right to make this agreement and grant the assignment and license set forth herein; (b) you are the sole author of the Design Submission and the Design Submission is original with you and not copied in whole or in part from any other work; (c) the Design Submission does not violate the privacy rights, publicity rights, copyrights, trademarks, contract rights or any other rights of any person or entity; and (d) the Design Submission is not libelous, obscene or otherwise unlawful. You also irrevocably grant Salon permission to use your name, username, image, likeness and biographical information (as provided by you), if any, to attribute the Design Submission to you and to advertise and promote the Design Submission, Salon and any products or services related thereto, without further compensation of any kind to you. You also hereby release Salon and its affiliates and their officers and employees from all claims, liabilities and obligations of any kind or nature whatsoever in connection with any use of the Design Submission.
Contest Entry Deadline. The Contest begins on Jan. 18, 2006, and ends on Feb. 12, 2006 (the "End Date"). All submissions must be received by the End Date. Submissions not in compliance with these Official Rules are disqualified.
Winner Selection; Judging Criteria. Salon staffers will select one (1) grand prize winner from among all eligible Design Submissions received based on the following criteria: creativity of design (25 percent); cohesive design theme (25 percent); originality of design (25 percent); and fit with the appearance and purpose of Audiofile (25 percent). The Judging Criteria are to be applied in the sole discretion of Salon and the individual judges. By entering the Contest, you acknowledge that creative, artistic and commercial evaluations of designs may differ from person to person and agree to be bound by and not challenge the final decisions of Salon and the individual judges.
Prizes. The grand prize winner will receive a check for $200 and his or her winning Design Submission will be used as the new logo for Audiofile, at a time and in a form and manner ultimately decided by Salon. The winner will also receive credit for the Design Submission (e.g., "Designed by ________________"). Approximate retail value of the prize: $200.
Winner Notification. The winner will be notified by e-mail or phone within five (5) business days of Salon selecting the winner. If unable to make contact with the winner within five (5) business days after Salon first attempts to notify the winner, or if the winner fails to claim the prize within five (5) business days after Salon first attempts to notify the winner, the prize may be forfeited and awarded to an alternate winner. The winner must sign formal assignment documents, regarding the winning Design Submission, before the prize will be awarded. If the winner fails to sign the formal assignment documents, the prize may be forfeited and awarded to an alternate winner. All prizes will be awarded.
Miscellaneous. By participating in the Contest, you agree to be bound by all of the terms of these Official Rules and by the decisions of Salon and the individual judges, which are final and binding in all matters relating to the Contest. Prizes are nontransferable. Arrangements for the fulfillment of all prizes will be made by Salon. Receipt of any prize is conditioned upon compliance with any and all applicable federal, state and local laws, rules and regulations. THE WINNER IS SOLELY RESPONSIBLE FOR CALCULATING AND PAYING ANY AND ALL FEDERAL, STATE OR LOCAL TAXES RELATED TO OR ARISING OUT OF ACCEPTANCE OF THE PRIZE; SALON IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES. All incidental expenses will be the responsibility of the winner.
Releases. By participating, you agree that Salon and those involved in the development, production (including prize suppliers), implementation and distribution of this promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third-party claims, arising from or relating to, in whole or in part, the Contest, including entry and participation in the Contest and acceptance, possession, use or misuse of the prizes. You further agree that in the event of any third-party claims, damages, losses or injuries, arising from or relating to the Contest, you will indemnify Salon from any and all such claims, including the attorneys' fees related thereto. Salon shall not be responsible for any technical malfunctions of the telephone network, computer online system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to your or any other person's computer related to or resulting from downloading as part of the Contest. Any person attempting to defraud or in any way tamper with the Contest will be ineligible for prizes and may be prosecuted to the full extent of the law. The Contest shall be governed by California law. By participating in the Contest, you agree that California courts shall have jurisdiction over any dispute or litigation arising from or relating to the Contest and that venue shall be only in San Francisco, California. The parties hereby expressly waive trial by jury in any action, proceeding or counterclaim brought by either of the parties against the other on any matters whatsoever arising out of or in any way connected with these Official Rules and agree to submit to binding arbitration.
Official Rules; Winner's List. Specify winner's list or Official Rules on your request.
General Conditions. Salon further reserves the right to modify these Official Rules in any way or at any time as long as there is notice such as e-mail or a posting to our Web site of the changes. Any questions or further inquiries regarding the Contest, please e-mail: audiofile@salon.com.
